This agreement is between Crown Heights Collective (“CrownHeights”)  and  you, the client  (“Client”) as it relates only to monthly website maintenance.

Client is contracting CrownHeights as a provider of website maintenance services. Services not considered 'standard website maintenance' are subject to be charged at a regular hourly rate of $50,  and will not be considered part of this contract. There are three (3) levels of monthly maintenance.

 What IS included in this agreement (upon your selection):

  • Basic
    Updates: Core WordPress, theme, and all plugins
    Backups: Monthly database and full site backups stored off site
    Website Security: Protection and monitoring against site threats
    Website Monitoring: Monthly check-ins on activities and site status
    Service Hours: 1
  • Starter
    Updates: Core WordPress, theme, and all plugins
    Backups: Weekly database and full site backups stored off site
    Website Security: Protection and monitoring against site threats
    Website Monitoring: Bi-weekly check-ins on activities and site status
    Service Hours: 5
    Development Support: 4 update requests per month. Includes: Adding content, adjusting graphics, adding plugins, and posting additional pages (Note: Each item is considered a request)
    Google Analytics: Bi-weekly reporting (Includes: general site performance and activity, sessions, users, page views and visitor tracking)
    Response Time: Within 24hrs
  • Premier
    Updates: Core WordPress, theme, and all plugins
    Backups: Daily database and full site backups stored off site
    Website Security: Protection and monitoring against site threats
    Website Monitoring: Weekly check-ins on activities and site status
    Service Hours: 9
    Development Support: 8 update requests per month. Includes: Adding content, adjusting graphics, adding plugins, and posting additional pages
    Google Analytics: Weekly reporting (Includes: general site performance and activity, sessions, users, page views and visitor tracking)
    Response Time: Same day

Emergencies
If your website ever goes off-line and you need immediate technical support, we will respond promptly and deal with any technical issues so you don’t have to.

What is NOT included in this agreement:
Website redesign, re-alignment or re-development. Integration of a new design, page layout or functionality that is currently not a part of the website. These require a separate design and development agreement.

Total Agreement
CrownHeights shall provide Client with the services selected above for an indefinite period of time. This agreement is for one (1) full year of service. The contract will be paid on a monthly basis. Each payment is due each month, on the date of the initial payment. A recurring invoice will be generated to track billing.

During the duration of this contract, the Client agrees that CrownHeights will be the sole provider of maintenance services for the website, and no other party will have access to or rights to change the website. If a party other than CrownHeights makes changes to the website, any errors that are created must be repaired and the Client will be charged at an hourly rate of $50. An estimate will be provided before work begins. Monthly updates should not exceed more than 50% of the content on any single site page, THE PERCENTAGE TO BE DETERMINED BY CrownHeights.

Response Time
CrownHeights will respond to all maintenance requests from Client based upon the plan selected. Response will be given via text, email or phone call, with a confirmation that the request was received, and an estimated completion date for each action item in the request. Maintenance requests received after 5:00PM EST may not be completed until the next business day unless prior arrangements have been made.

CrownHeights will adhere to all quoted deadlines for the deliverables in the maintenance requests at all possible costs. In the event that CrownHeights has any issues in delivering on a quoted deadline, Client will be notified via text, email or telephone the reasoning for any change.

Additional Services
Any revisions, additions or redesign requested by Client that is not specified in this document shall be considered “additional” and will require a separate agreement and costs. CrownHeights shall advise Client on any requested work that falls within these parameters.

Authorization
Client hereby authorizes CrownHeights to access their website, providing active username and password combinations for access to the hosting server, the hosting account and the WordPress CMS.

Payment Details
We issue invoices electronically. Our payment terms are 5 business days from the date of invoice. Payments can be made by debit or credit card. CrownHeights uses PayPal as our payment processor.

We reserve the right to charge interest on all overdue debts at the rate of 10% per month. In the case of late payment, you will be responsible for all debt collection fees. We also reserve the right to remove your website from public view until all debts are paid.

Entire Agreement
This agreement constitutes the entire agreement between Client and CrownHeights. Neither of us can transfer this contract to anyone else without the other’s permission.

We both agree that we’ll adhere to all relevant laws and regulations in relation to our activities under this contract and not cause the other to breach any relevant laws or regulations. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.

Although the language is simple, the intentions are serious and this contract is a legal document. The courts of Florida will have exclusive jurisdiction to adjudicate any dispute arising under or in connection with this agreement.
